You must not intend to obtain unauthorized access to suchparts, or to any otherprotected information on this lvbaoscmplatform and/or Services, through any means that is unallowed by lvbaoscm.
This Terms of Use comprises of the following sections:

Unless otherwise defined, the definitions andprovisions in respect of interpretation set out in Schedule 1 will apply to these Terms of Use.
2.1 Guidelines to The Use of lvbaoscmplatform and/or Services
(a) We grant you the right to use and access thelvbaoscmPlatform for shopping on thelvbaoscmPlatform in accordance with specified terms and conditions.
(b) You agree to comply with any and all the guidelines, notices, operating rules andpolicies, and instructionspertaining to the use of the Services and/or access to thelvbaoscmPlatform, as well as any amendments to the aforementioned, issued by us, from time to time.lvbaoscmreserves the right to revise these guidelines, notices, operating rules andpolicies, and instructions at any time with advance notice in accordance with applicable laws. You agree that you are responsible for reading and reviewing the amendments in respect of such guidelines, notices, regulations, and operating policy and instructions. Your continuing to access and/or uselvbaoscmPlatform or use anypart of the Services after the notices on change, supplementation isposted onlvbaoscmPlatform will be deemed as you have confirmed and agreed with such changes, and all such changes or supplementations will be effective and binding on you. 2.2 Restricted activities
You agree and undertake NOT to:
(a) impersonate anyperson or entity or falsely state or otherwise misrepresent your affiliation with anyperson or entity;
(b) uselvbaoscmPlatform or Services for illegalpurposes; unreasonable, fraudulent, threatening, illegal information exploration, sabotage, create and spread viruses that damage the system, configure, transmit information oflvbaoscmPlatform or use your services for thepurpose of speculating, manipulating the market to create fake orders, offers, even for judging market demand;
(c) attempt to gain unauthorized access to or otherwise interfere or disrupt other computer systems or networks connected to thelvbaoscmPlatform or Services;
(d)post,promote, or transmit through thelvbaoscmPlatform or Services anyprohibited Materials;
(e) interfere with another’s utilization of thelvbaoscmPlatform or Services;
(f) use or upload, in any way, any software or material that contains, or which you have reason to suspect that contains, viruses, damaging components, malicious code, or other harmful components which may impair or corrupt thelvbaoscmPlatform’s data or damage or interfere with the operation of another Customer’s computer or mobile device or thelvbaoscmPlatform or Services;
(g) use thelvbaoscmPlatform or Services which is not in compliance with thepermitted usepolicies of any connected computer networks, any applicable Internet standards, and any other applicable laws;
(h) change, modify, copy, transmit, distribute,provide and create tools similar to the Servicesprovided bylvbaoscmto a thirdparty without the consent oflvbaoscm;
(i) act to discreditlvbaoscmand/or thelvbaoscmPlatform in any form such as causing disunity amongBuyersby using a second registered name, through a thirdparty orpropaganda, disseminating information that is not favorable to the reputation oflvbaoscmand/orlvbaoscmPlatform.
2.3 Availability oflvbaoscmPlatform and Services
The Customer agrees thatlvbaoscmmay, from time to time, upgrade, modify, suspend or discontinue toprovide or remove, in whole or in part, thelvbaoscmPlatform or any Service on thelvbaoscmPlatform in accordance with the law.
2.4 Compatibility onlvbaoscmPlatform
Different models or versions of routers, browsers, and devices may have hardware or settings that are not compatible with thelvbaoscmPlatform. While we continuously develop thelvbaoscmPlatform to, as far aspossible, support all commonly used devices and models in markets and all browsers from where thelvbaoscmPlatform is likely to be accessed, we do not warrant the compatibility of thelvbaoscmPlatform with specific mobile devices or other hardware.
2.5 Right, but not obligation, to monitor content
We reserve the right to:
(a) monitor, screen or otherwise control any activity, content, or material on thelvbaoscmPlatform and/or through the Services. We may in our sole and absolute discretion, investigate any violation of the Terms of Use contained herein and may take any action it deems appropriate;
(b)prevent or restrict access of any non-compliant User (at our sole discretion) to thelvbaoscmPlatform and/or the Services;
(c) report any activity thatlvbaoscmhas grounds to suspect is a violation of the law or regulations of authorities, and to co-operate with such authorities;
(d) to request any information and data from you in connection with your use of the Services and/or access of thelvbaoscmPlatform at any time and to exercise our right under thisparagraph if you refuse to disclose such information and/or data or if we have reasonable grounds to suspect that you haveprovided inaccurate, misleading or fraudulent information and/or data;
(e) any other measures in accordance with the operating regulations asposted onlvbaoscmPlatform from time to time.

Your use of the Services and/or access to thelvbaoscmPlatform is also subject to theprivacypolicy as set out atvn.lvbaoscm.com/privacy.
3.1 Restrictions:Customers who have breached or are in breach of the terms and conditions contained herein and Customers who have beenpermanently or temporarily suspended from the use of anypart of the Services as specified in Clause 7.1 below shall not use the Services even if they satisfy the requirements of Clause 3.2 as below.
3.2 General terms of use: You agree:
(a) to conduct any activity relating to the Services in good faith and lawful manner;
(b) to ensure that any information or data youpost or cause to appear on thelvbaoscmPlatform in connection with the Services is accurate and agree to take sole responsibility for such information and data.
lvbaoscmmay cancel or reject your use of anypart of the Services where it deems or suspects that your use of anypart of the Services or any transaction is inappropriate or fraudulent. For the avoidance of doubt, inappropriate or fraudulent use of Services may also includepromotion abuse and/or system cheating activity.
4.1 Username/Password:Certain Servicesprovided onlvbaoscmPlatform may require the creation of alvbaoscmUser Account or require you toprovidepersonal Data. If you request to create alvbaoscmUser Account, a Username and password may either be:
(a) determined and issued to you by us;
(b)provided by you and accepted by us in our sole and absolute discretion in connection with the use of the Services and/or access to the relevantlvbaoscmPlatform. We may, at any time, request that you update yourpersonal Data or immediately invalidate the Username and/orpassword and shall not be liable or responsible for any Losses suffered by or caused by you or, for any reasons, arising out of or in connection with or because of such request or invalidation. You hereby agree to change yourpassword from time to time and to keep the Username andpassword confidential and shall be responsible for the security of yourlvbaoscmUser Account and liable for any disclosure or use (whether such use is authorized or not) of the Username and/orpassword. You are to notify us immediately if you know or have a reason for suspecting that the confidentiality of the Username and/orpassword has been compromised or if there has been any unauthorized use of the Username and/orpassword or if your personal Data requires updating.
(c) Customers may receivepromotional emails, SMS text messages, and/or in-webmessages or notifications fromlvbaoscmin accordance with thepolicy oflvbaoscmand applicable laws. In case the Customer does not want to continue receiving such notifications, the Customer can refuse by clicking the link shown at the bottom of the relevant notifications or re-settinglvbaoscmuser account.
4.2Purpose of use/access:You agree and acknowledge that any use of the Services and/or any access to thelvbaoscmPlatform and any information, data, or communications initiated from yourlvbaoscmUser Account shall be deemed to be, as the case may be:
(a) access to the relevantlvbaoscmPlatform and/or use of the Services by you;
(b) information, data, or communicationsposted, transmitted, and disclosedproperly by you.
Your Username,password are confidential information that cannot be shared with anyparty. We will always hold and assume that the use of your Username,password Login is done by you alone and has the right to conclude that such utilization/activity is conducted or sent by you. You shall fully compensatelvbaoscmagainst any and all Losses suffered bylvbaoscmattributable to any of your use oflvbaoscmUser Account.
5.1 Ownership:lvbaoscm, the licensor oflvbaoscmor its Serviceprovider, license, and control all Intellectualproperty on thelvbaoscmPlatform and in respect of Materials on thelvbaoscmPlatform.lvbaoscmfully reserves the right to enforce its Intellectualproperty Right to the extent permitted by laws.
5.2 Restricted Use:No content on thelvbaoscmPlatform or any Materials may be reproduced, reverse engineered, separated, altered, distributed, republished, displayed, broadcasted, copied, mirrored, transferred, or transmitted in any manner or by any means or stored in an information retrieval system or installed on any servers, system or equipment withoutlvbaoscm’sprior writtenpermission or that of the relevant copyright owners. Subject to Clause 5.3,permission will only be granted to you to download,print, or use the Materials for personal and non-commercial uses,provided that you do not modify the Materials and that we or the relevant copyright owners retain all copyright and other notices of owners contained in the Materials.
5.3 Trademarks:Nothing on thelvbaoscmPlatform and in these Terms of Use shall be construed as allowing that, whether express or implied, inferred or otherwise construed that you have the right to use any license or have the right to use (including as a meta tag or as a link to another website) any Trademarks displayed on the Services, without writtenpermission oflvbaoscmor any other applicable Trademark owner.
6.1 You grant us a non-exclusive license to use the materials or information that you submit to thelvbaoscmPlatform and/orprovide to us, including but not limited to questions, reviews, comments, and suggestions (collectively, “Submissions”). When youpost comments or reviews to thelvbaoscmPlatform, you also grant us the right to use the name that you submit or your Username in connection with such review, comment, or other content. You shall not use a false e-mail address,pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any Submissions. We may, but shall not be obligated to, announce, remove, or edit your Submissions.
7.1 Termination bylvbaoscm:lvbaoscmreserves the right to suspend or terminate your access to thelvbaoscmPlatform or use of anypart of Services or delete yourlvbaoscmUser Account (temporarily or permanently) in the following cases:
(a) you breach these Terms of Use, the Service-specific additional terms orpolicies;
(b) we’re required to do so to comply with a legal requirement, a competent authority request, or a court order;
(c) we have grounds to reasonably believe that your conduct causes harm or liability to a user, thirdparty, or Google – for example, by hacking,phishing, harassing, spamming, misleading others, or copying content that doesn’t belong to you;
(d) if there are grounds toprove that the information you have provided tolvbaoscmis inaccurate, false, incomplete, or in violation of the law or Vietnamese customs;
(e) you violate the regulations of operation of the e-commerce tradingplatform or have actions affecting business activities on thelvbaoscmPlatform;
(f) you do not engage in transactions and information exchanges on thelvbaoscmPlatform for three (3) consecutive months;
(g) you are bankrupt, convicted or on a sentence, if you continue to operate that could impose liability on thelvbaoscmPlatform, have activities that are fraudulent, dishonest, market disturbance, causing disunity to other Users oflvbaoscmPlatform, activities in violation of applicable laws of Vietnam;
(h) other circumstances as stipulated in the operating regulations asposted onlvbaoscmPlatform from time to time.
If you believe that yourlvbaoscmUser Account has been suspended or terminated in error,you can submit a complaint at this email address(services@tanhoavu.vn).
7.2 Termination by you:
(a) You are always free to stop accessing thelvbaoscmPlatform or using the Services at will. You can cease using the Services by deactivating yourlvbaoscmuser account, and stop accessing thelvbaoscmPlatform at any time.
(b) You are entitled to delete thelvbaoscmUser Account in accordance with the Terms and Conditions of DeletinglvbaoscmUser Account attached to this Terms of Use (as may be updated, amended, changed from time to time).
8.1 Notice Fromlvbaoscm All notices or other communications shall be deemed given to you if:
(a) communicated through anyprint or electronic media as we may select will be deemed to be notified to you on the date of publication or broadcast;
(b) sent bypost or left at your address will be deemed to have been received by you on the signing day of receiving such notices.
8.2 Notice From You:You may only give notice to us in writing sent to our designated office address or e-mail address or contact us via customer support atHERE, and we shall be deemed to have received such notice only upon confirmation of receipt by the signature (if the notice is made in writing). While we endeavor to respondpromptly to notices from you, we cannot guarantee that we will always respond with consistent speed.
8.3 Other Modes:Notwithstanding Clauses 8.1 and 8.2, we may from time to time change other acceptable modes ofproviding notice (including but not limited to e-mail, SMS, or other forms of electronic communication) on the time or instance by which such notice is sent.
9.1 Rights and Remedies:Unless otherwiseprovided under these Terms of Use, rights and remedies oflvbaoscmunder these Terms of Use are cumulative and are withoutprejudice and in addition to any rights or remedies oflvbaoscmin accordance with the law. Non-exercise of any right or remedy under these Terms of Use bylvbaoscm, or at law, shall (save to the extent, if any,provided expressly in these Terms of Use or at law) operate so as not to hinder orpreventlvbaoscm’s exercise of any other right or remedy as at law.
9.2 No Waiver:Our failure to enforce these Terms of Use shall not constitute a waiver of these terms, and such failure shall not affect the right later to enforce these Terms of Use. We would still be entitled to enforce our rights and remedies in any other situation where you breach these Terms of Use.
9.3 Severability:If at any time anyprovision of these Terms of Use is seen to be illegal, invalid, or unenforceable in any respect, the legality, validity, and enforceability of the remainingprovisions of this Terms of Use and the rest of the affected terms in these Terms of Use shall continue to be in effect; and shall continue in force as if such illegal, invalid, or unenforceableprovision was removed from these Terms of Use.
9.4 Governing law and Dispute Resolution:The use of thelvbaoscmPlatform and/or the Services and these Terms of Use shall be governed by and construed in accordance with Vietnamese laws. Any dispute arising out of or relating to these platform Terms, including the existence, validity, interpretation, performance, breach or termination thereof; or any dispute regarding non-contractual obligations arising out of or relating to this Terms of Use shall be referred to and finally resolved by the Vietnam International Arbitration Centre (VIAC) at the Vietnam Chamber of Commerce and Industry arbitration in accordance with the Arbitration Rules of the Vietnam International Arbitration Centre (“VIAC Rules”), in which such rules are deemed to be incorporated by reference in this Clause 9.4. The tribunal shall consist of three (3) arbitrator(s). The language of the arbitration shall be Vietnamese.
9.5 Correction of Errors:Any typographical, clerical, or other error or omission in any approval, invoice, or other documents on ourpart shall be subject to correction without any liability on ourpart.
9.6 Binding and Conclusive:You acknowledge and agree that any records (including records of any telephone conversations relating to thelvbaoscmPlatform and Services, if any) maintained bylvbaoscmorlvbaoscm’s Service providers relating to thelvbaoscmPlatform and Services shall be binding and conclusive evidence of any information and/or data transmitted between you andlvbaoscm. You hereby agree that all such records are admissible in evidence and that you shall not challenge or dispute the admissibility, reliability, accuracy, or the authenticity of such records merely on the basis that such records are in electronic form or are the output of a computer system, and you hereby waive any of your rights, if any, to so object.
9.7 Sub-contracting and Delegation:We reserve the right to delegate or sub-contract theperformance of any of our works in connection with thelvbaoscmPlatform and/or Services and reserve the right to use any serviceproviders, subcontractors, and/or agents on such terms as we deem appropriate.
9.8 Assignment:You may not assign your rights and obligations under these Terms of Use without ourprior written consent. We may assign our rights and obligations under these Terms of Use to any thirdparty.
9.9 Force Majeure:We shall not be liable for non-performance, error, interruption, or delay in theperformance of its obligations under these Terms of Use (or anypart thereof) or any inaccuracy, unreliability, or unsuitability of thelvbaoscmPlatform's and/or Services’ contents if this is due, in whole or inpart, directly or indirectly to an event or failure which is beyond our reasonable control.
1. Definitions:
1.1.“Customer”or“Buyer”means organizations, individualspurchasingitems, using services onlvbaoscmPlatform.
1.2.“Intellectualproperty”means all copyrights,patents, trademarks, service marks, domain names, design rights, database rights, trade names or business names, the right toprotect trade secrets and confidential information, the right toprotect commercial advantage and reputation, and all other similar intellectualproperty rights and all applications for these rights, whether currently exist or created in the future, in any region over the world, whether registered or unregistered, and all rights,privileges, right to sue, claim for damages, and request for application of interim injunctive relief for any violation of these rights, whether it is in thepast,present or in the future.
1.3.“lvbaoscm”,“we”,“our”and“us”refer to TAN HOA VU TECHNOLOGY GROUPJOINT STOCK COMPANY, a company established and operated under Vietnamese laws in accordance with Enterprise Registration Certificate No.0110681739issued by the Department ofplanning and Investment ofHanoi Cityfor the first time onApril11, 2024(as amended from time to time), with the head office located atBT6- Lot B3, Ha Dinh New Urban Area, Tan Trieu Commune, Thanh Tri District, Hanoi City, Vietnam.
1.4.“Losses”means allpenalties, losses, settlement sums, costs (including legal fees and expenses on a solicitor-client basis), charges, actions,proceedings, claims, demands, and other liabilities, whether foreseeable or not.
1.5.“Materials”means, collectively, the information, images, links, sounds, graphics, video, software, applications, and other materials displayed or made available on thelvbaoscmPlatform and the functionalities or servicesprovided on thelvbaoscmPlatform.
1.6.“Order”means the Customer’s order forproducts sent through thelvbaoscmPlatform in accordance with the relevant Terms and Conditions of Sale andpurchase.
1.7.“Password”refers to the validpassword that a Customer who has alvbaoscmUser Account withlvbaoscmmay use in conjunction with the Username to access the relevantlvbaoscmPlatform and/or use Services.
1.8.“Personal Data”meanspersonal data as specified in theprivacypolicy.
1.9.“lvbaoscmE-commerceplatform”or“lvbaoscmPlatform”means (i) a e-commerce websitevn.lvbaoscm.com, including e-commerce tradingplatforms and onlinepromotions owned and operated bylvbaoscmin Vietnam, which is re gistered to operate as an e-commerce website, including an e-commerce tradingplatform and onlinepromotion owned and operated bylvbaoscmin Vietnam.lvbaoscmE-Commerceplatform is set up and operates in the form of the e-commerce tradingplatform and onlinepromotions to serve traders, organizations, and individuals aiming to introduce, buy and sell online, includingposting an online advertisement; creating a store to display, introduce, sellproducts; and carrying outpromotions in the form of discount codes, selling goods at prices lower than theprevious saleprices applied in a certain period or with a certain number of Customers; and other forms of promotion in accordance with laws of Vietnam.
1.10.“Privacypolicy”means theprivacypolicy set out at vn.lvbaoscm.com/privacy.
1.11.“Product”means the goods, servicesprovided by the Seller vialvbaoscmPlatform.
1.12.“Prohibited Material”means any information, graphics,photographs, data, and/or any other material that:
(a) contains any computer virus or invasive code, damaging code, or other harmfulprograms;
(b) infringes any third-party Intellectualproperty or any other proprietary rights;
(c) is defamatory, libelous, or threatening;
(d) is obscene,pornographic, indecent, counterfeited, fraudulent, stolen, harmful, or otherwise illegal under the applicable law; and/or
(e) is or may be construed as offensive and/or otherwise objectionable, in our sole opinion.
1.13.“Services”means services, information, and functions made available by us at thelvbaoscmPlatform.
1.14.“Submission”is as defined in Clause 6.1 of these Terms of Use.
1.15.“Terms and Conditions of Sale andpurchase”means the terms and conditions governing a Customer’s purchase of theproducts.
1.16.“Terms of Use”means these terms and conditions governing the Customer’s use of thelvbaoscmPlatform and/or Services.
1.17.“Trademarks”means any sign used to distinguish goods or services of different organizations or individuals, including the trademarks, service marks, trade names, and logos used and displayed on thelvbaoscmPlatform, including Trademarks that have been registered and unregistered oflvbaoscmor thirdparties.
1.18.“Username”refers to the unique login identification name or code which identifies a Customer who has an account withlvbaoscm.
1.19.“Discount Code”means apromotion code, goodspurchase voucher, discount goods purchase voucher which may be used by a Customer, subject to other terms and conditions, towards thepayment ofpurchases on thelvbaoscmPlatform.
1.20.“You”and“your”refer toanyindividuals over the age of 18aperson ,or any employee, for whom you arepurchasing on behalf of the business.
1.21.“Business Day”means a day (excluding holidays, Saturdays, and Sundays) on which banks generally are open for business in Vietnam.
1.22.“Exchange and Returnpolicy”means the exchange and returnpolicy set out atlvbaoscmExchange and Returnpolicy.
1.23.“Seller”meanslvbaoscm.
1.24.“User”means a Customer who hasregistered an account on the lvbaoscm platform.
1.25.“lvbaoscmUser Account”means the electronic account on thelvbaoscmPlatform which the Customer registers for creation andlvbaoscmaccepts to create so that the Customer can access thelvbaoscmPlatform and/or use Services on thelvbaoscmPlatform.
2. Interpretation:
Any reference in these Terms of Use to anyprovision shall be construed as a reference to thatprovision as amended, re-enacted, or supplemented at the relevant time. In these Terms of Use, whenever the words “include”, “includes” or “including” are used, they will be deemed to be followed by the words “without limitation”. Unless expressly indicated otherwise, all references to days mean calendar days, and the words “month” or “monthly”, as well as all references to months, means calendar months. Clause headings are inserted for convenience only and shall not affect the interpretation of these Terms of Use. In the event of a conflict or inconsistency between anyprovisions under these Terms of Use, whether suchprovisions are contained in the same or different documents, such conflict or inconsistency shall be resolved in the direction that is most appropriate to the context.
1. Your Compliance
You agree to comply with any and all the guidelines, notices, operating rules andpolicies, and instructionspertaining to the purchase ofproducts through thelvbaoscmPlatform, as well as any revisions and amendments to the aforementioned, issued bylvbaoscm(whether aspart of the use of thelvbaoscmPlatform or concerning thepurchase ofproducts, on behalf of Seller), from time to time.lvbaoscmreserves the right to revise these guidelines, notices, operating rules andpolicies and instructions at any time with an advance notice in accordance with laws. You agree that you are responsible for reading and reviewing the amendments in respect of such guidelines, notices, regulations and operatingpolicy and instructions. Your continuing to access and/or uselvbaoscmPlatform or use anypart of the Services after the notices on change, supplementation isposted onlvbaoscmPlatform will be deemed as you have confirmed and agreed with such changes, and all such changes or supplementations will be effective and binding on you. 2. Sellers
Theproducts on thelvbaoscmPlatform are sold by Sellers. Information of aparticularproduct listed for sale on thelvbaoscmPlatform by Sellers is stated on theproduct descriptionpage on thelvbaoscmPlatform.products sold to Customer by Sellers will be governed by individual Customer contracts where:
(a) for theproducts sold bylvbaoscm, shall be agreed directly betweenlvbaoscmand you.
3.productprice
3.1 Theprice listed on thelvbaoscmPlatform isnotfinal andnotincludes value-added tax (VAT).price is subject to change depending on the time and applicablepromotionprogram. Delivery fees and/or charges (if applicable), will be clearly displayed on the checkoutpage when the Order isplaced.
3.2 We always try to ensure that all information andprices displayed are accurate for eachproduct, however, there may be occasional errors or omissions due to objective factors. If any price defect is detected, the system will automatically cancel the Order, send an email and SMS to inform the Customer. Then, the refund request will immediately be initiated (if the Order has been paid in advance).

5. Orderplacement and Confirmation
5.1 You mayplace an Order by completing and submitting the required information on thelvbaoscmPlatform. Seller will not accept Orders placed in any other manner. You shall be responsible for ensuring the accuracy of the Order information.
To ensure fairness andprotect the interests of all Customers, we have the right to refuse the Orders that are in (but not limited to) the following circumstances:
(a) If Customer does not comply with any regulations,policies oflvbaoscm,lvbaoscmreserves the right to refuse Customer's order as well as suspend or terminate Customer'slvbaoscmUser Account permanently withoutprior notice.
(b) The shipping and/or billing address that the Customerprovided during the orderingprocess cannot be changed afterlvbaoscmand/or Seller receives the order. To change such information, the Customer will need to cancel the current Order andplace a new Order with the correct updated address.
5.2 Orders are irrevocable and unconditional: All Orders will be deemed to be irrevocable and unconditional upon transmission through thelvbaoscmPlatform and Seller shall be entitled (but not obliged) toprocess such Order(s) without Customer’s further consent and any further reference or notice to the Customer. Nevertheless, in certain circumstances as stated in these Terms of Use, the Customer has the right to request to cancel or amend the Order, and the Seller will endeavor to give effect on a reasonable-effort basis. However, notwithstanding the foregoing, the Seller is not obliged to give effect to any request to cancel or amend any Order.
6.payment Methods
6.1 You canpay for your Order via (i) Offline transfers available on the lvbaoscmplatform. In case theproducts areprovided by the cross-border sellers without a commercialpresence in Vietnam, you agree to irrevocably authorize lvbaoscm toprocess necessaryprocedures with the banks in Vietnam for makingpayments to the Sellers, including buying foreign currency and remit thepayments to the cross-border sellers. For the avoidance of doubt, lvbaoscm shall, under no circumstances, not be listed as the importer, exporter, consignor, or consignee in any export or import documentation.
6.2 Unless otherwiseprovided and notified by lvbaoscm, you are not required topay any deposit for your Order. In case of receiving such kind of request from lvbaoscm or any Seller,please kindly reject and immediately contact the customer support at HERE for further support.
6.3 You agree that you are subject to the applicable user agreement of yourpayment method. You may not claim against Seller or any of its authorized agents (which may include lvbaoscm), for any failure, disruption, or error in connection with your chosenpayment method.
7.payment security
7.1 Never let others borrow your credit card or bank card to make apayment on the lvbaoscmplatform; in case of any unintended transaction,please inform lvbaoscm immediately so that we can assist you in time.
7.2 Check your credit card, bank card regularly to make sure all transactions are within your control.
8. Makingpayment on lvbaoscmplatform
8.1. The Customer may refer and choosepayment methods on lvbaoscmplatform including (note: the interfaces and images below are for illustrationpurpose only and such interfaces can be changed from time to time;Currently, only offline transfers are supported)
Offline Transfers
(a) The Buyer researches information about theproduct on the lvbaoscmplatform.
(b) The Buyer orders theproduct on lvbaoscmplatform and at thepayment step, default option “Offline Transfers” in the “Payment methods” section.
(c) lvbaoscm sends an Order confirmation to the Buyer.
(d) After the transfer to the designated account is successful, go to the order details and upload your transfer voucher.The Order will beproceeded and delivered within the specified time. The status of the Customer’s Order will be updated on lvbaoscmplatform, email sent to the Customer. Note:
(a) In any case, the Customer can look up a transaction via the email address registered on the lvbaoscmplatform. Besides, the Customer can look up transaction history when logging into their account via Order Management on the lvbaoscmplatform.
(c) In case the Customer wants to edit any information, the Customer needs to contact customer service.
9. Delivery ofproducts
9.1 Address: Theproducts are delivered by the logisticsprovider contacted by the lvbaoscmplatform to the address provided by the customer in the order.
9.2 Delivery Methods: LVBAOSCM cooperates withprofessional and efficient logistics companies to deliver customers' products.
9.3 Tracking: You may track the status of the delivery at the “Order Details”page of the lvbaoscmplatform.
9.4 Estimated Time For Delivery:
(a) For theproducts delivered domestically, the estimated time for the delivery will subject to the geographical areas, delivery address of the Customer, address of the Seller or lvbaoscm’s warehouse and the delivery method selected by the Customer, from 1-8 days for standard delivery, or another time as notified on lvbaoscm platform from time to time (Or, let you know once we've negotiated a time with the shipping company). The estimated time for delivery of eachproduct will be displayed on theproductpage.
(b) The estimated time for delivery will not include theperiod when the delivery is affected by force majeure events, events which lead to restrictions in shipment and delivery or any other events of similar nature. In case of any events that affect the estimated time for delivery, the estimated time for delivery after updated will be notified to the Customer.
9.5 Forproductsprovided by the Seller who is a foreign trader with no commercialpresence in Vietnam, you agree to irrevocably authorize lvbaoscm to organize the importing activities under entrustment to importingproducts into Vietnam including but not limited to authorizing lvbaoscm to designate and contract with an entrusted import service supplier and you also agree that you will entrust such entrusted import service supplier designated by lvbaoscm and willprovide reasonable assistance to thesepartners in carrying out the necessary formalities to importproducts into Vietnam, including but not limited toproviding necessary information and documents when requested. For the avoidance of doubt, lvbaoscm will under no circumstances be identified as an importer, exporter, consignor or consignee in any export or import documents.
9.6 Forproducts that are directly distributed by lvbaoscm, lvbaoscm, through lvbaoscm’s shippingpartners, offers nationwide delivery unless some restricted areas are stated otherwise on theproduct’s informationpage.
9.7 Geographical restrictions for the delivery: The shipping agents will always try to offer the Customer door to door delivery wheneverpossible. However, depending on the location where the item will be delivered to, the shipping agents may or may not be able to offer door to door delivery (such as for apartment and office buildings) due to their specific administrationpolicy. Besides, lvbaoscm is not able to support delivery to areas located inparacel and Spratly island districts. Where the Customer specifically instructs lvbaoscm’s authorized agents to deliver theproduct to a specific location, for example, outside the apartment or according to Customer's specific instructions on the delivery location, such delivery shall be at the Customer’s sole risk and the Customer accepts all liability and risk of loss, theft, and damage.
9.8 Responsibility ofproviding Goods Documentations: The Seller shall on his/her/its own (in case of delivery by himself/herself/itself) or through lvbaoscm or logistics service provider (in case he/she/it uses delivery services from thirdparties)provide sufficientproduct documentation to the Customer.
9.9 In case of late delivery or late service provision, lvbaoscm, on behalf of the Seller, will notify the Customer of the amended estimated time for delivery and will have a mechanism for the Customer to cancel the order if the Customer so demands.
9.10 The delivery conditions andpolicies for the product will be fully informed to the Customer before the Customerproceeds with the order confirmation. The Customer can view detailed information about the delivery that applies to theproduct introduced on lvbaoscm E-commerce platform in the “Delivery and Receipt” section via the link, HERE.
9.11 The Customer is advised to check the details of the terms and conditions relating to the delivery and receipt of theproduct as well as the delivery unitprice applicable to eachproduct in the order.
10. Receivepackage and Check
10.1 If the Customer detects that thepackage has a distorted sign, no intact or wrong recipient information, the Customer has the right to refuse to receive thepackage. Forprepaid Orders, when the Customer refuses to receive thepackage, lvbaoscm willperform a refund procedure within thirty (30) Working Days from the date of receiving theproper request from the buyers.
10.2 If Customer is not satisfied or hasproblems with receivedproduct after having received and made thepayment, Customer shall complain immediately to lvbaoscm within 24 hours after receiving the package. Thepaymentpaid by the Customer for the Order will be refunded after obtaining the final decision of lvbaoscm.
11. Risk and Ownership of theproducts
11.1 Risk of damage to or loss of theproducts shallpass to Customer at the time when theproduct is delivered to the Customer or if the shippers improperly delivers theproducts, the risk of damage or loss of the products shallpass to the Customer at the time when theproduct is delivered to the shippers.
11.2 Notwithstanding delivery and thepassing of risk in the products or any otherprovision of these Terms of Use, the ownership of the products shall notpass to the Customer until lvbaoscm has received in cash or cleared fundspayment in full of theprice of theproducts and all other goods agreed to be sold by lvbaoscm to the Customer for whichpayment is then due.
11.3 The Customer agrees with lvbaoscm that the Customer shall immediately notify lvbaoscm of any matter affecting lvbaoscm’s title to the products and the Customer shallprovide lvbaoscm with any information relating to theproducts as lvbaoscm may require from time to time.
11.4 Until the ownership of theproductspasses to the Customer (provided theproducts are still in existence and have not been resold) lvbaoscm shall be entitled to demand the Customer to return theproducts to lvbaoscm and in the event of non-compliance, lvbaoscm reserves its right to take legal action to request the Customer to return theproducts and also reserves its right to seek damages and all other costs including but not limited to legal fees incurred by lvbaoscm.
12.policy on counterfeit, fake, and improper goods
12.1 lvbaoscm aims toprovide the best qualityproducts to Customers via theproducts offered on the lvbaoscmplatform and we refuse to sell theproducts that violate the law of Vietnam (including but not limited to illegal manufacturedproducts, counterfeits, goods of unclear origin).
12.2 In case the Customer finds any violations,please inform us immediately by contacting the customer support for further support for information verification and support.
13. Change or cancel the transaction on the lvbaoscmplatform
13.1 If the cancellation request is made before the Order status is changed to “Paid”, the Customer may (i) Log in to the lvbaoscm User Account on the lvbaoscmplatform/ select ‘My Order’ and click the CANCEL button and take the necessary steps as directed or (ii) contact the customer support department via hotline 0582505825 or vn.lvbaoscm.com/contact (8/5 customer service) for assistance (in case Customerplaces the Order on the lvbaoscmplatform without logging in). Note: Hotline number may be changed from time to time and shall be updated on lvbaoscmplatform.
13.2 If the cancellation request is made after the Order status is changed to “Paid”, the Customer can only cancel the Order by refusing to receive thepackage when it is delivered.And you will need topay the corresponding fee.
14. Consequences of theprovision of incorrect information on the lvbaoscmplatform
14.1 The Customer is responsible forproviding accurate and complete information when engaging in any transaction on the lvbaoscmplatform. In case ofprovision of incorrect login and/orpayment information that leads to the incompletion and/or interruption of the transaction, lvbaoscm reserves the right to refuse toperform the transaction without being responsible for the order cancellation.
14.2 If Customer contacts lvbaoscm or lvbaoscm to contact the Customer to confirm the Order for any reason (including but not limited to high-value Orders, orders have signs of fraudulent) if the Customer cannot answer and/or verify the necessary information required by lvbaoscm, lvbaoscm has the right to cancel the Order in this case.
15.promotionprogram
15.1 To bring more benefits to end consumers, lvbaoscm will organizepromotionprograms. The terms and conditions of eachpromotionprogram will be updated on the lvbaoscmplatform from time to time and can be modified by lvbaoscm at any time in accordance with laws. It is the Customer’s responsibility to read and understand the terms and conditions of each promotion at the time of order
16. Intellectualproperty
16.1 Where applications, software, controllers or other computer programs and/or all other design details, technical handbooks or manuals, drawing or other data (all collectively referred to as “Product Materials”) are supplied to the Customer by Seller in connection with the Order, the use and retention of theproduct Materials are subject to the terms and conditions of license or use (such as end-user licenses, restrictions or conditions of use) as may be prescribed by Seller or its licensors and must not be used other than strictly in accordance with such terms and conditions.
16.2 The Customer agrees and acknowledges that theproduct Materials shall remain theproperty of Seller or its licensors. The Customer further agrees that any and all Intellectualproperty embodied in or relating to theproduct Materials shall remain the sole and exclusiveproperty of Seller or its licensors. Unless otherwise expresslyprovided in the Order or theprior written consent of lvbaoscm has been obtained, the Customer undertakes to return theproduct Materials and/or any copies thereof upon lvbaoscm’s request.
17. Security regulations
17.1 The lvbaoscmplatform has the necessary security measures and tools to ensure theprotection ofpersonal Data andpayment information in the most comprehensive manner. All Customer’s information during thepayment process is encrypted to ensure maximumprotection. All transaction information is to be kept confidential, however, upon receiving a written request from an authorized government authorities, we will have toprovide this information to such authorities in accordance with regulations.
17.2 The Customer is not allowed to use anyprograms, tools or any forms to interfere with the system or alter the data structure. lvbaoscm prohibits the spreading,propagation, orpromotion of any activity that interferes with, sabotages, or otherwise infiltrates system data. Any individual or organization who violates will be deprived of all rights and prosecuted if necessary.
If there are relevant clauses in the transaction contract, the terms of the contract shall be followed.
1) Generalprovisions on exchange and return:
• Step 1: Look up the returnpolicy of theproduct.
• Step 2: Ensure that theproduct meets the return conditions as set forth in section 2 below.
• Step 3: After the Customer has understood details of conditions, time and return method, the Customer will access the "Order Details" to return theproducts.
2) When returningproducts,please ensure the following conditions:
-product must be returned with Return Registration Form and value-added tax invoice of lvbaoscm or seller’s receipt (if any).
- Theproduct must be returned with all of its accessories (including user manual, warranty card/stamp,product’spackaging) and gifts or otherpromotions associated with theproduct (if any).
-product is still within the return period (3, 7 or 30 calendar days from the date of receivingproducts – depending on applicablepolicy specified for eachproduct listed on the lvbaoscmplatform).
- Reasons for returning goods must be valid and meet the conditions for acceptance of return aspublished on the official website of vn.lvbaoscm.com at Help Center, Return section.
-products that are in the special categories of goods shall have specific return conditions –please see on the official website of vn.lvbaoscm.com at Help Center, Return section.
Notes:
- lvbaoscm shall not receive the Customer’s return request if theproduct to be returned does not meet all of the factors listed above.
- In case of returning aproduct due to the Customer’s unsatisfaction, the Customer must ensure that theproduct shows no sign of use and its seal (if any) must remain intact. However, lvbaoscm will not refund any cost incurred for this order, including the orderprocessing fee and delivering fee (if any).
- Customers can refer to details of conditions for product return and exchange on theproduct detailpage with respect to the specific conditions applicable to the concernedproduct.
4) The returnprocess will beprolonged in the following cases:
- Missing of accessories (except for cases where Customer returns goods with the return reason that is “goods missing accessories on delivery”).
- Missing value-added tax invoice or receipt.
- Missing documents accompanied with theproduct when receiving theproduct such as user manual, warranty card,product’s packaging.
- Theproduct is damaged due to the Customer’s carelesspackage during the transportation back to lvbaoscm. - Arising issues regarding theproduct’s defects that are not mentioned in the original reason for the return which the Customer notified lvbaoscm via the online return registration form, byphone, or by email.
5) In case the return reason is a damagedproduct or missing items: lvbaoscm only supports if the Customer notifies lvbaoscm within 24 hours of the receipt of goods. lvbaoscm may request the Customer toprovidepictures of theproduct and other information regarding the product, theprocess of delivery, and receipt for cross-checking with related parties.
6) For Large-scaleproduction equipment: due to their special nature, lvbaoscm shall not support the return request in the following cases: uUnsatisfaction.
uTheproduct has been installed/assembled or used: in case of being defective, we shall be responsible to support the warranty in accordance with the manufacturer’s policies.
7) Costs for return/exchange of product: The costs incurred from returns are to be borne by the customer..
If there are relevant clauses in the transaction contract, the terms of the contract shall be followed.
1) Refund events:
- Theprepaid orders being canceled:Refunds will be issued within 30 days after the cancellationprocess is completed.
- The orders being returned to lvbaoscm: The refund will be within 15 working days made upon the assessment result of the product from examination department of lvbaoscm is available.
- Theprepaid orders unsuccessfully delivered to the Customer: The refund will Within 15 working days be made upon the successful delivery to lvbaoscm.
2) Refund method:
- Offline transfers, refunds will be processed through thepayment accountprovided in thepaymentproof uploaded by the customer.
3)Refund time:
3.1 Offline transfers: 1-15 business days.
(*) Refund time is counted from the time when the order is successfully canceled or is updated as having been returned to the Seller/lvbaoscm.
In case abovementioned time duration has expired but you have not received the money,please contact the bank who issues your card for support.
lvbaoscm does not support changing the methods of refund after the refundprocedures have been completed.
1. Acceptance of Terms and Conditions
1.1. The following lvbaoscmplatform engagement tools terms and conditions (the “Engagement Tools Terms”) govern the use of the lvbaoscmplatform engagement tools and other related Services (collectively, the “Tools” and, each a “Tool”)provided by lvbaoscm on the lvbaoscmplatform.
1.2. By using any of the Tools, the Users agree to be bound by these Engagement Tools Terms. The Engagement Tools Terms are in effect concurrently with the current Terms of Use and are incorporated into these Engagement Tools Terms by reference. Unless otherwise specified, terms defined and regulated under these Terms of Use will apply to these Engagement Tools Terms.
1.3. The use of the Tools may be subject to additional terms (“Additional Terms”) that lvbaoscm mayprescribe from time to time. Concerning any Tool, the Additional Terms that govern the use of such Tool shall be made accessible via such Tool. If you do not agree to any of the Additional Terms, you should discontinue your use of the Tools that are subject to those Additional Terms.
1.4. In the case of any inconsistency or conflict between any documents referred to in these Engagement Tools Terms that is not expressly resolved in those documents, such inconsistency or conflict will be resolved in the following order of descendingpriority: the relevant Additional Terms, the Engagement Tools Terms, and the Terms of Use.
2. Tools Conditions
2.1. lvbaoscm may, from time to time and without giving any reason orprior notice, upgrade, modify, suspend, discontinue theprovision of, or remove any of the Tools, and lvbaoscm shall not be liable if any such upgrade, modification, suspension, discontinuation or removal affects your use of the lvbaoscmplatform orprevents you from accessing any of the Tools.
2.2. Users shall beprohibited from running the Tools with programs other than the relevant lvbaoscm clientprogramprovided by lvbaoscm. For illustrationpurpose, examples ofprohibitedprograms include automated bots and other tools meant to replace or supplement the relevant lvbaoscm client programprovided by lvbaoscm, as well as scripts and completely orpartially automatedprograms thatprovide any User with any advantage over other Users by enabling, for example, auto-refresh functions and other integrated browser mechanisms that use or concern automatedprocedures for using the Tools.
2.3. Users are, under no circumstances,permitted to do any of the following:
(a) create, exploit or use bugs, cheats, mods and/or hacks, or any other third-party softwareproducts that may change the result, function, or gameplay of the Tools;
(b) use software that allows the mining or scraping of data or otherwise intercepts or collects information in connection with the Tools;
(c) use any rewards (Integral) acquired via the Tools for any purpose other than thepurchase ofproducts on the lvbaoscmplatform;
(d) the foregoing shall include all circumventions, similar actions, or actions thatproduce an effect that matches the aforementioned prohibitions.
3. Content Restrictions
3.1. The Tools include various content, imagery, recording, media, and graphics that areprotected by trademarks, copyrights, or other means for the benefit of lvbaoscm or thirdparties. Unless explicitlypermitted by these Engagement Tools Terms, or otherwise agreed in writing by lvbaoscm, no User or any thirdparty may edit, copy, distribute,publicly reproduce or use any Tool for anypurpose other than thepurpose set out in clause 2.1 of these Engagement Tools Terms. Copyright information and brand names may not be changed, hidden, or removed. The term “content” includes all and any data, images, text, graphics, music, sounds, effect, videos, softwareprograms and codes, and any other informationprovided or developed by lvbaoscm, and any such services available for download.
3.2. Users are obliged to abstain from any measure which may compromise or interrupt theproper functioning of the lvbaoscmplatform, the Tools, or any individual services or functions on the lvbaoscmplatform. Users are also required to abstain from any measure which may allow unauthorized access to data.
4. User’s Obligations
4.1. Each User acknowledges and agrees:
(a) to comply with all applicable laws and regulations when using the Tools;
(b) to comply with all thirdparty terms (including, for instance, any applicable terms of use,policies, and guidelines, as well as thirdparty terms of sharing channels that a User may use to invite others to use the Tools) that apply to the use of the Tools used by such User;
(c) to be responsible for all information that is communicated, submitted, or transmitted, whether to lvbaoscm or thirdparties, from such User's account or device in the course of such User’s use of the Tools;
(d) not to use the Tools orpermit the use of the Tools in any manner which may adversely affect other Customers’ use of the Tools or the goodwill or reputation of lvbaoscm or the TAN HOA VU TECHNOLOGY GROUP OF COMPANIES;
(e) to be responsible for complying with these Engagement Tools Terms.
5.2. Where lvbaoscm, in its sole discretion, discovers or suspects that a User has breached any of these Engagement Tools Terms or the relevant Additional Terms, lvbaoscm may take all such steps and remedies as it deems appropriate. Such steps may include, amongst other steps that lvbaoscm may deem fit from time to time, the following:
(a) to investigate such lvbaoscm User Account;
(b) toprevent, restrict or suspend the access of such User to the Tools (or anypart thereof) or the lvbaoscmplatform;
(c) to report any activity, it suspects to be in violation of any applicable law, statute, or regulation to the appropriate authorities and to co-operate with such authorities;
(d) to forfeit any rewards which a User may have received due to the User’s use of the Tools; and
(e) to cancel any Ordersplaced during a User’s use of the Tools.
6. Data Collected by lvbaoscm
6.1. lvbaoscm may collectpersonal Data from the Users in the course of their use of the Tools. Suchpersonal Data may includephotographs, names, and usernames that a User may upload,provide, or use.
6.2. Anypersonal Data that lvbaoscm collects may be used by it, or shared with or transferred to thirdparties (including related companies, third-party serviceproviders, and other Users), for any or all of the following purposes:
(a) to display on comments on the lvbaoscmplatform (as defined in the Terms and Conditions) concerning the Tools;
(b) to facilitate the administration of the Tools and any rewards associated with the Tools; and
(c) to otherwise facilitate the use of the Tools.
6.3. For the avoidance of doubt, theprivacypolicy (and the notification of thepurposes of data collection therein) as referred to in the Terms and Conditions shall apply to allpersonal Data referred to under these Engagement Tools Terms.
7. Miscellaneous
7.1. If at any time anyprovision of these Engagement Tools Terms or any Additional Terms shall be held to be illegal, invalid, or unenforceable, in whole or inpart, theprovision shall apply with whatever deletion or modification is necessary so that theprovision is legal, valid and enforceable and gives effect to the commercial intention of lvbaoscm. To the extent it is notpossible to delete or modify theprovision, in whole or inpart, under this clause, then suchprovision orpart of it shall, to the extent that it is illegal, invalid or unenforceable, be deemed not to formpart of these Engagement Tools Terms or the relevant Additional Terms, as the case may be, and the legality, validity, and enforceability of the remainder of these Engagement Tools Terms or the Additional Terms (as the case may be) shall, subject to any deletion or modification made under this clause, not be affected.
7.2. lvbaoscm reserves the sole right to alter, modify, add to, or otherwise vary these Engagement Tools Terms at any time and from time to time, and in such manner as lvbaoscm deems appropriate at its absolute discretion and in accordance with laws. In the event of variation of these Engagement Tools Terms, if you continue to use the Tools thereafter, you shall be bound by the Engagement Tools Terms as so amended and shall be deemed to have accepted the Engagement Tools Terms as so amended.
7.3. The laws of Vietnam shall govern and construe the Tools and these Engagement Tools Terms. Any dispute arising out of or relating to these Engagement Tools Terms, including the existence, validity, interpretation,performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by the Vietnam International Arbitration Centre (VIAC) at the Vietnam Chamber of Commerce and Industry arbitration in accordance with the Arbitration Rules of the Vietnam International Arbitration Centre (“VIAC Rules”), which rules are deemed to be incorporated by reference in this clause. The tribunal shall consist of three (3) arbitrator(s). The language of the arbitration shall be Vietnamese.
A. lvbaoscm User Account Deletion
1. Before you submit a request to delete your lvbaoscm User Account (“Deletion Request”), please ensure that your lvbaoscm User Account (“Account”) satisfies all of the following requirements:
lvbaoscm User Account in Good Standing: Your lvbaoscm User Account (including other related services, such as your lvbaoscm Wallet and/or other wallet, if applicable) is in good standing and is not the subject of any ongoing investigations, penalties or allegations for violation of lvbaoscm’s terms of use and/or applicable laws;
Last lvbaoscm User Account Deletion: For information security reason, the last request for deletion of your lvbaoscm User Account must not fall within thirty (30) calendar days of this Deletion Request;
(c) No Outstanding Transactions: You must not have any pending orders, payment obligations, refunds, deliveries, returns and/or disputes on the lvbaoscm User Account. Your most recent order(s) must have been completed and delivered at least forty (50) calendar days prior to the date of this Deletion Request;
(d) any other criteria that lvbaoscm may notify you from time to time.
2. An acknowledgment will be sent to you via SMS and/or email upon the successful submission of a Deletion Request.
3. Because the account deletion process is permanent, we conduct the deletion only a few days after your Deletion Request is made.
4. If applicable, subject to satisfaction and/or fulfilment of all the conditions for deletion as set out in the Clause 1. A confirmation will be sent to you via SMS and/or email upon the completion of account deletion.
5. If you decide later that you would like to use the features on our Platform requiring to register an account, you will need to create a new account. We reserve the right to reject any future account creation requests under the same credentials for any reason whatsoever and without any liabilities or responsibilities.
6. lvbaoscm User Account deletion is permanent. When your lvbaoscm User Account has been successfully deleted, you would not have access to any information, products and services associated with your deleted lvbaoscm User Account. In which:
(a) you will not be able to log into or otherwise access your lvbaoscm User Account, retrieve or edit any content or information which you have previously shared, or view your account history;
(b) all remaining shopping credits or any other rewards or promotions obtained via the engagement tools provided on lvbaoscm’s websites shall be forfeited;
(c) you will no longer be able to file on the lvbaoscm Platform a request for any returns, refunds, exchanges or any disputes which may arise from any transactions completed on your lvbaoscm User Account and/or perform any other operations whatsoever which require access to the lvbaoscm User Account. Therefore, if there is a dispute relating to any transaction, please do not delete your lvbaoscm User Account until such dispute has been resolved.
7. Some data, such as messages, reviews, comments and other contents or information submitted by you to the lvbaoscm Platform, are not stored in your lvbaoscm User Account. This means that other Users may continue to have access to the messages you have sent and reviews, comments, or other contents you have posted on the lvbaoscm Platform even after your lvbaoscm User Account has been deleted.
8. All Personal Data disclosed to us will be handled and stored according to our Privacy Policy available at https://vn.lvbaoscm.com/privacy and all applicable laws and regulations. After your lvbaoscm User Account is deleted, we and/or our affiliates will retain certain personal data and/or other data relating to lvbaoscm User Account as long as it is necessary for the purposes set out in Privacy Policy and as required by all applicable laws and regulations.
C. General Terms
10. Any clause in these Terms and Conditions and other terms and conditions as may be agreed or accepted by you that is invalid, unenforceable or illegal shall be enforced as nearly as possible per its terms but shall otherwise be deemed severed and shall not affect the enforceability of any other clauses which shall continue to be valid and enforceable to the fullest extent permitted by law.
11. The rights and protections conferred on lvbaoscm and/or its affiliates under these Terms and Conditions shall be additional to the rights and protections conferred on lvbaoscm and/or its affiliates under the Terms of Use, Privacy Policy, as well as such other terms and conditions as may be agreed to or accepted by you.
12. lvbaoscm may amend, revise, update or modify these Terms and Conditions at any time in accordance with applicable laws (“Changes”). Changes will be effective five (5) days after being posted on the Platform without any notice and you are deemed to have agreed to the Changes after five (5) days upon their publication on the Platform.
13. These Terms and Conditions shall be governed by and construed under Vietnamese law.
14. Except as provided for in Clause 10, any dispute, controversy or claim arising out of or relating to these Terms and Conditions or the breach, termination or invalidity thereof shall be settled by the Vietnam International Arbitration Center (“VIAC”) in accordance with the arbitration rules of the VIAC. The arbitral tribunal shall consist of three (03) arbitrators to be appointed by the Arbitration Rules of VIAC. The place of arbitration shall be Ho Chi Minh City, Vietnam. Any arbitration award of VIAC shall be final and binding upon the parties. The losing party shall bear the costs of the arbitration proceedings and indemnify the prevailing party against the costs of lawyer. The party in favor of whom the arbitral award is issued has the right to request any competent court or any competent agency or organization to enforce the arbitration award against the other party. Each party hereby agrees to be bound by the arbitration award and undertakes to strictly abide by the arbitration award and acts in accordance with the arbitration award.

1.1 These Terms apply to all Users of lvbaoscm Platform and the Services. By accessing the lvbaoscm Platform, you consent and agree to be bound by:
(a) the lvbaoscm Terms of Use at https://vn.lvbaoscm.com/terms-of-use;
(b) these Terms;
(c) the Privacy Policy available at https://vn.lvbaoscm.com/privacy
and any amendments, revisions, updates or modifications to each of the foregoing made by us from time to time.
1.2 We may amend, revise, update or modify these Terms at any time (“Changes”). Changes will be effective when posted on the lvbaoscm Platform with no other notices provided and you are deemed to have agreed to the Changes upon their publication on lvbaoscm Platform. You must periodically review the most up-to-date Terms at https://vn.lvbaoscm.com.
1.3 You affirm that:
(a) you are of legal age and are fully able and legally competent to enter into and be bound by these Terms; or
2. Using the lvbaoscm Platform
2.1 The lvbaoscm Platform allows Users to upload UGC in the form of: (a) general comments on the lvbaoscm Platform; (b) product reviews; (c) product recommendations; (d) ‘Before After’ effects of products; (e) short videos; (f) how to use products guides; and any other feature, Tool or mechanism we release on the lvbaoscm Platform. UGC will be published on the lvbaoscm Platform and will be available to Users.
2.2 You acknowledge and understand that we only provide a platform for Users to upload Content. You agree that you access the Content at your own risk and that any decision you make to view, or access the Content or any product or service you sell or purchase as a result of viewing, or accessing the Content is entirely between you and the Content provider. You are solely responsible and shall be liable for all Content you upload or otherwise make available on the lvbaoscm Platform.
2.3 The lvbaoscm Platform may contain links to third party websites that we do not own or control. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, we will not and cannot censor or edit the contents of any third-party site. By using the lvbaoscm Platform, you expressly relieve us from any and all liability arising from your use of any third-party website.
2.4 We reserve the right to decide which Users will be permitted to access or use any of the features, Tools and Services offered on or through the lvbaoscm Platform (including viewing the Content contained in the lvbaoscm Platform or uploading the Content into the lvbaoscm Platform). You are prohibited from using another person's account without authorisation. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You may be liable for the losses or damages we or other third parties suffer due to any unauthorized use of your account.
2.5 You will comply with all applicable laws, regulations, policies or guidelines and obtain all regulatory clearances necessary (eg any applicable permits or approvals you may require to display advertisements of products) prior to uploading any Content to the lvbaoscm Platform.
3. Your Content
3.1 You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the Content, you submit; and, except for lvbaoscm PGC, you license to us all patents, trademarks, trade secrets, copyright or other proprietary rights in and to such Content for publication on the lvbaoscm Platform pursuant to these Terms.
3.2 By uploading Content to lvbaoscm Platform, you confirm that you own the copyright material to the Content. If the Content contains third party copyrighted material which you do not own, you shall obtain the copyright owner’s permission prior to uploading, sharing or distributing the Content to the lvbaoscm Platform.
3.3 Except for lvbaoscm PGC, you retain all of your ownership rights in your Content including Content. However, by using the lvbaoscm Platform, you grant to us a worldwide, non-exclusive, royalty-free, sub-licenseable and transferable perpetual license to use, keep, recreate, duplicate, share, display, reproduce, modify, distribute, prepare derivative works of, display, and/or perform your Content and (where applicable) the Seller Livestream Content in connection with the Service and our (and our parent company’s successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the lvbaoscm Platform and/or the Service (and derivative works thereof) in any media formats and through any media channels.
3.4 lvbaoscm will retain all ownership rights to all lvbaoscm PGC uploaded to the lvbaoscm Platform.
3.5 You also grant each User of the lvbaoscm Platform a non-exclusive licence to access your Content, and to use, reproduce, distribute, display and perform such Content as permitted through the functionality of the lvbaoscm Platform and under these Terms.
3.6 The above licences granted by you are perpetual and irrevocable.
3.7 You further agree that the Content you upload, on the lvbaoscm Platform will not contain third party copyrighted material, or material that is subject to other third party intellectual property or other proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant to us all of the license rights granted in these Terms.
3.8 lvbaoscm does not in any manner whatsoever endorse any Content uploaded to the lvbaoscm Platform or in using the Service by any user or other licensor, or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with Content.
4. Prohibited Content
4.1 You agree not to upload or otherwise make available any Prohibited Content.
4.2 Without prejudice to the generality of the foregoing, you are to comply with the following restrictions:
(a) No offensive content, such as defamatory content, content involving violence, cruelty, nudity, sex, sexual deviancy, pornography, sexual degradation, solicitation of prostitution, offensive language, crude references or hate speech; or content which is indecent, obscene, false or offensive in character, regardless of whether there is malice or intention to annoy, abuse, threaten or harass any person.
(b) No content which is unsuitable for users aged 18 and below.
(c) No content promoting terrorism or terror-related activities.
(d) No content involving references to physical, mental or sensory disability.
(e) No content which encourages the public to engage in or promote unlawful acts, violence, selling or consuming narcotics, psychotropics or other addictive substances.
(f) No inflammatory, subversive or seditious content, such as content which incites or promotes conflict against the country or any state, its constitution, government or laws; or incites or promotes conflict between groups, ethnicities, races, religions or genders, or degrade religious or cultural beliefs.
(g) No content involving gambling, such as games, lotteries, horse-racing, sports betting, astrology, geomancy, palm reading or any other type of fortune-telling device.
(h) No content involving minors without the written consent of such minor’s parent or legal guardian.
(i) No content relating to or promoting content prohibited or banned under any law.
(j) No content which infringes intellectual property rights or causes confusion on the relationship with other organisations or individuals.
(k) No content involving the impersonation of organisations or individuals without such organisations’ or individuals’ written consent.
(l) No content which promotes political messages.
(m) No content violating data protection laws and intellectual property laws.
(n) No content which is misleading, false or deceptive (for example, content which is misleading as to the price of the product sold and content which makes false claims that the goods are limited or will come with free gifts).
(o) No content which contains words like, or are similar to, “best”, “the best”, “number one”, “proven”, “top-grade” unless these are permitted under applicable laws, regulations, policies or guidelines.
(p) No spam, phishing or fraudulent content.
(q) No content which is prohibited under the Policies, including but not limited to lvbaoscm Community Policy and Community Guidelines.
4.3 If your Content involves the use of physical stunts (for example, where it carries a risk of injury or damage whether to property or person), you must ensure the words “Do Not Attempt” or words of similar meaning are prominently featured on the Content.
4.4 We do not permit copyright infringing activities and infringement of intellectual property rights on the lvbaoscm Platform, and we will remove all Content if properly notified that such Content infringes on another's intellectual property rights, in accordance with applicable laws on intellectual property rights.
4.5 We reserve the right to remove any Content, to take any enforcement actions as we deem necessary (including any enforcement actions as may be set out in the Policies from time to time, filing of reports to any regulatory authorities and/or law enforcement agencies) and/or to seek any other remedies available to us under the applicable laws and regulations, in each case without prior notice to you or providing any reason for such action.
4.6 You agree that lvbaoscm shall not be liable in any manner whatsoever for any losses or damage suffered in any way as result of lvbaoscm’s exercise of its discretion to remove Content and/or to take any other actions specified in paragraph 4.5 above.
5. Software Licence and Proprietary Rights of lvbaoscm
5.1 All intellectual property rights, whether registered or unregistered, in the lvbaoscm Platform, which includes any lvbaoscm PGC or information content on the lvbaoscm Platform and all the website design, trademarks, logos, text, graphics, software, photos, videos, music, sounds, and their selection and arrangement, and all software compilations, underlying source code and software (collectively referred to as “Intellectual Property”) shall remain our property or where applicable, our affiliates or third party intellectual property owners. The entire contents of the lvbaoscm Platform are protected under applicable intellectual property laws.
5.2 The lvbaoscm Platform, Intellectual Property and Contents, or any part thereof, shall not be copied, reproduced, distributed, licensed, transferred, published, in any form, or otherwise dealt with in any manner, except as expressly permitted by the Terms. You shall not disassemble, decompile or reverse engineer the lvbaoscm Platform.
6. Restrictions In using the lvbaoscm Platform
6.1 lvbaoscm hereby grants you a non-exclusive, non-transferable, and revocable right to use the lvbaoscm Platform as set forth in these Terms provided that you refrain from doing any of the following if you use the lvbaoscm Platform:
(a) download or record the Content unless you see a “download” button or hyperlink to download the Content displayed on the lvbaoscm Platform; make unauthorised copies, modify, adapt, translate, reverse engineer, disassemble, decompile or create any derivative works of the lvbaoscm Platform or any Content, including any files, tables or documentation (or any portion thereof) or determine or attempt to determine any source code, algorithms, methods or techniques embodied by the Services or any derivative works;
(b) distribute, license, transfer, or sell, in whole or in part, any of the lvbaoscm Platform or any derivative works;
(c) use the lvbaoscm Platform, without our express written consent, for any commercial or unauthorized purpose, including communicating or facilitating any commercial advertisement or solicitation or spamming;
(d) impersonate any person or entity, or falsely state or otherwise misrepresent you or your affiliation with any person or entity, including giving the impression that any content you upload, post, transmit, distribute or otherwise make available emanates from the lvbaoscm Platform;
(e) intimidate, abuse, annoy or harass another, or promote sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
(f) use or attempt to use another’s account, service or system without authorisation, or create a false identity on the lvbaoscm Platform;
(g) use the lvbaoscm Platform in a manner that may undermine the purposes of the lvbaoscm Platform, such as trading reviews with other users or writing or soliciting fake reviews;
(h) use or launch any automated system, including without limitation, “robots,” or “spiders,” to upload, transmit, distribute, store or otherwise make available in any way files that contain viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or to obtain access to any portion of the lvbaoscm Platform that we do not expressly authorise you to access. You also cannot use any automated system or software which may overwhelm the servers of the lvbaoscm Platform or lvbaoscm Content Service in any way, including, but not limited to causing a Distributed Denial-of-Service Attack on the lvbaoscm Platform or lvbaoscm Content Service.
(i) bypass the internal workings (including security features) of the lvbaoscm Platform (including changing the coding or interface of the lvbaoscm Platform or lvbaoscm Content Service);
(j) “doxing” other users on the lvbaoscm Platform, including revealing the personal information of other users (including names, email addresses, addresses and phone numbers);
(k) promote products sold on websites, applications or platforms other than on the lvbaoscm Platform;
(l) permit or engage in any fraudulent behaviour against Users, lvbaoscm or third parties, including using bots or technology to increase views, followers or sales or manipulate or falsify data;
(m) promote or facilitate the sale of counterfeit goods or goods infringing the intellectual property rights of third parties; and/or
(n) upload, share or distribute Content which may affect other Users’ use of the lvbaoscm Platform, lvbaoscm Content Service, or the goodwill or reputation of lvbaoscm.
7. What We Can Do If You Infringe These Terms
7.1 You agree that the measures set out in this clause shall apply where the relevant provision of the Content on the lvbaoscm Platform or use of the Services provided by lvbaoscm violates applicable laws, these Term and/or our Policies, and you agree this is without prejudice to lvbaoscm’s other rights and remedies under these Terms or in law. The measures include (without limitation):
(a) the immediate removal of the Content;
(b) the deletion of any or all saved Content;
(c) the suspension or termination of your account;
(d) banning you from the lvbaoscm Platform or use of the Service for a specified time period or permanently; or
(e) taking any other actions against you or any accounts that you may have registered with lvbaoscm (including reversing any transactions carried out by the infringing Users on lvbaoscm Platform).
7.2 We may remove any Content you upload to the lvbaoscm Platform or disable other people from accessing any Content you upload to the lvbaoscm Platform for any reason whatsoever including:
(a) where we deem the Content to be Prohibited Content, at our absolute discretion;
(b) where we have received any request from any authority to remove the Content;
(c) where we have received any complaint from other users on the Content.
7.3 While you own your Content, you agree that if you are in breach of these Terms, we will have a right to modify your Content (including splicing, cropping or otherwise editing your Content) and use or distribute your Content (whether modified or otherwise) in our sole discretion without your permission.
7.4 When you upload Content into the lvbaoscm Platform, you permit us to disclose your identity (including all details you have shared with us when you open your account on the lvbaoscm Platform) to other third parties.
8. Your Personal Data
Your personal data will be processed according to the Personal Data Policy that is available at https://vn.lvbaoscm.com/privacy.
9. Indemnity
You are responsible for any loss or damage we may suffer as a result of your breach of these Terms and/or our Policies. You also agree to defend, indemnify and hold us and our related companies, officers, directors, employees and agents, from and against any and all claims, losses, liabilities, arising from your use of and access to the lvbaoscm Content Service or lvbaoscm Platform or from your breach of these Terms and/or applicable Policies. We may also assume control of any matter subject to indemnification by you and you must work with us in making available any defences and indemnify us for any legal fees we may incur.
In the event that a Seller fails, as determined by lvbaoscm, to perform its obligations or commitment to a User in relation to or during a Seller Livestream Content, lvbaoscm shall be entitled in its own discretion to refund, provide and/or pay the Buyer (including through the issuance of vouchers) any amount, consideration or prize due to the User. lvbaoscm has the right to deduct such amount, consideration or prize from any amount that is due and payable from lvbaoscm to the User, including payouts and payments collected by lvbaoscm on the Seller’s behalf.
10. Limitation of Liability
10.1 The lvbaoscm Platform and all data and/or information contained therein and/or the Services are provided on an “as is” and “as available” basis without any warranties, claims or representations made by lvbaoscm of any kind either expressed, implied or statutory with respect to lvbaoscm Platform and/or the Services, including, without limitation, warranties of non-infringement of third party rights, title, merchantability, satisfactory quality or fitness for a particular purpose. All data and/or information contained in lvbaoscm Platform and/or the Services are provided for informational purposes only.
10.2 Without limiting the foregoing, we do not warrant that the lvbaoscm Platform and/or the Services or the functions contained therein will be available, accessible, uninterrupted, timely, secure, accurate, complete or error-free, that defects, if any, will be corrected, or that lvbaoscm Platform and/or the server that makes the same available are free of viruses, clocks, timers, counters, worms, software locks, drop dead devices, trojan-horses, routings, trap doors, time bombs or any other harmful codes, instructions, programs or components.
10.3 lvbaoscm and all of its respective officers, employees, directors, agents, contractors and assigns shall not be liable to you for any losses whatsoever or howsoever caused (regardless of the form of action) arising directly or indirectly in connection with:
(a) any access, use and/or inability to use the lvbaoscm Platform or the Services;
(b) reliance on any data or information made available through the lvbaoscm Platform and/or through the Services. You should not act on such data or information without first independently verifying its contents;
(c) any system, server or connection failure, error, omission, interruption, delay in transmission, computer virus or other malicious, destructive or corrupting code, agent program or macros; and
(d) any use of or access to any other website or webpage linked to lvbaoscm Platform, even if we or our officers or agents or employees may have been advised of, or otherwise might have anticipated, the possibility of the same.
10.4 Any risk of misunderstanding, error, damage, expense or losses resulting from the use of the lvbaoscm Platform and/or Services is entirely at your own risk and we shall not be liable therefore.
11. Interpretation
11.1 In these Terms:
“Buyer” means a registered buyer on the lvbaoscm Platform.
“Content” includes any sound, sound sequences, music, text, images / still pictures, photos, moving pictures, videos, software programs, codes or other audio-visual representation or audio-visual combination, or the tactile representation or any combination of the preceding which you may view from the lvbaoscm Platform, or post, share or upload to the lvbaoscm Platform and which is capable of being created, manipulated, stored, retrieved or communicated electronically. Content includes, but is not limited to, any Content on any interactive UGC channel or tab that is accessible on or through lvbaoscm Platform from time to time, lvbaoscm PGC, UGC, and comments, reviews and other user interactions posted to lvbaoscm Platform (including, without limitation, on any interactive UGC channel or tab that is accessible on or through lvbaoscm Platform from time to time or in connection with any Content, lvbaoscm PGC and UGC).
“lvbaoscm Content Service” means viewing, accessing, posting, sharing or uploading any Content to the lvbaoscm Platform.
“lvbaoscm PGC” means Content that is generated by any third party commissioned or hired by lvbaoscm to generate such Content.
“lvbaoscm Platform” means https://vn.lvbaoscm.com;
“Policies” means the rules, guidelines, terms and conditions, etc. applicable to Users for the use of the Services, lvbaoscm Platform, Tools and other lvbaoscm properties, as they may appear on the lvbaoscm Platform or be communicated from time to time by lvbaoscm, including (without limitation) the Privacy Policy and lvbaoscm Community Policy and Community Guidelines.
“Prohibited Content” means any content that is:
(a) in breach of any law or regulation, or any guidelines or other instrument issued by any government or regulatory authority;
(b) classified as prohibited content under clause 4;
(c) in breach of lvbaoscm’s Policies, including (without limitation) lvbaoscm Community Policy and Community Guidelines; or
(d) deemed by lvbaoscm in its absolute discretion, to be unsuitable to be on the lvbaoscm Platform.
“Services” means the use of any services, information or functions made available by lvbaoscm on the lvbaoscm Platform which for the avoidance of doubt, include the lvbaoscm Content Service. Any reference made to the lvbaoscm Platform in these Terms, shall include the Services or any part of it, unless otherwise expressly stated.
“Terms” means these terms and conditions. The Terms shall be read together with lvbaoscm’s Terms of Use at https://vn.lvbaoscm.com/terms-of-use, which serve as an agreement between you and us for the use of the lvbaoscm Platform and the Services. Where there is a conflict between these Terms and lvbaoscm’s Terms of Use, these Terms shall prevail with respect to the regulation of any Content on lvbaoscm Platform.
“Tools” means any tools provided by lvbaoscm to you in connection with your access to and use of the Services.
“UGC” means Content generated by any User and is uploaded, accessible or viewable on the lvbaoscm Platform.
“User” means any user of lvbaoscm Platform and/or the Services, including (as applicable) Sellers and Buyers on lvbaoscm Platform.
1. Introduction
1.1. lvbaoscm implements this “Buyer Confirmation” Feature (“Feature”) to enable you to check and confirm that the products you receive are in line with the product descriptions and in good conditions (e.g. order is accurate, complete and not defective) before you click “Buyer Confirmation”.
1.2. By using this Feature, you, as an eligible buyer (“you” or “Buyer”), agree and accept these Terms and Conditions, in addition to lvbaoscm's Terms of Use, Exchange a nd Return Policy which are incorporated by reference in these Terms and Conditions. In the event of any conflicts between those terms, these Terms and Conditions shall prevail over the other terms and conditions mentioned in this Article 1.3, unless lvbaoscm, pursuant to its discreerwise. The capitalizetion, states othd terms herein which have not been defined in these Terms and Conditions shall have the meaning as ascribed to them in the other terms and conditions which are mentioned in this Clause Article 1.3.
1.3. lvbaoscm has the right to change these Terms and Conditions provided that lvbaoscm notified such change to you five (5) days prior to the application of such change and in a way that lvbaoscm deems fit in accordance with applicable laws and regulations. Your continued access to and/or use of lvbaoscm Platform and use of any portion of the Feature after the notice regarding changes is posted on lvbaoscm platform constitutes your acknowledgement and acceptance of the changes and such changes and supplementation are effective and binding on you. If you do not agree to such changes, you must not continue to access to and/or use lvbaoscm Platform or use any portion of the Feature.
2. “Buyer Confirmation” Feature
If there are relevant clauses in the transaction contract, the terms of the contract shall be followed.
2.1. “Buyer Confirmation” Feature applies to all products of all sellers on lvbaoscm Platform (except for Top Up eCoupon category).
2.2. Once you have received the products, you will have maximum 7 days to click “Order Received” (“Confirmation Period”).
2.3. Should the Buyer not click “Order Received” within the Confirmation Period, it will be automatically deemed as the Buyer has sucessfully received the products. Since then, the status of the Order will be “Confirmed”.
2.4. Unless otherwise stated or notified by lvbaoscm, upon clicking “Order Received”, you shall not be able to initiate a return or refund request unless you are entitled to initiate such request according to the product warranty policy or Vietnamese law (e.g. Law on Consumer Protection). Therefore, you shall need to check the products upon delivery to you and make sure that the products delivered to you are not damaged or broken, in line with the product descriptions and in good condition for use before you click ”Order Received”.
2.5. In case you encounter any issues related to your order, you will need to initiate a return or refund request within the Confirmation Period.
2.6. Please contact our Customer Care Department at 05825 05825 and provide details of the order in question (e.g. order ID, image, video) if you encounter any issues in relation to your request for return, refund or cancellation of the order.
